Legal Agreement

• Notifying us immediately of any unauthorized access
• Logging out from shared or public devices
• Taking reasonable precautions to prevent account compromise

4. Prohibited Conduct

• Career or employment impacts
• Personal injury or emotional distress

In no event shall our total aggregate liability exceed the amount you paid to us for the specific course or service giving rise to the claim during the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless ProjectPro Academy and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to your use of our services, violation of these terms, or infringement of any third-party rights.

No Guarantee of Results

While we strive to provide high-quality educational content, we cannot and do not guarantee any specific outcomes, including but not limited to:

• Success in certification examinations
• Employment or career advancement
• Specific skill acquisition or competency levels
• Financial or professional benefits

Individual results depend on numerous factors including personal effort, prior experience, market conditions, and circumstances beyond our control.

Legal Provisions and Dispute Resolution

1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Tokyo.

2 Dispute Resolution Process

In the event of any dispute, controversy, or claim arising out of or relating to these terms or our services, the parties agree to the following resolution process:

Step 1 - Informal Negotiation: First, contact us to attempt to resolve the dispute informally. We will work in good faith to reach a mutually acceptable resolution within 30 days.

Step 2 - Mediation: If informal negotiation fails, the parties agree to participate in mediation conducted by a neutral third party before pursuing litigation.

Step 3 - Litigation: If mediation does not resolve the dispute, either party may file a lawsuit in the appropriate courts of Tokyo.

3 Waiver of Class Actions

To the extent permitted by law, all disputes must be brought on an individual basis and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.

4 Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. The invalid provision shall be replaced with a valid provision that most closely approximates the intent and economic effect of the invalid provision.

5 Waiver

No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.

6 Assignment

7 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, governmental actions, epidemics, pandemics, internet or utility failures, or any other causes beyond our reasonable control.

8 Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any other legal notices or policies published on our website, constitute the entire agreement between you and ProjectPro Academy regarding your use of our services and supersede all prior agreements, understandings, and communications, whether written or oral.

9 Survival

The provisions of these Terms and Conditions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.
